General Terms and Conditions (GTC) of SmartAutomation Software Solutions GmbH (Recordo)
1. Scope These General Terms and Conditions (hereinafter “GTC”) apply to all services provided via the website www.recordo.ai and the associated app (hereinafter “Platform”) by SmartAutomation Software Solutions GmbH, Lerzenstrasse 8, 8953 Dietikon, Switzerland (hereinafter “Provider”). By registering or using the Platform, the user (hereinafter “Customer”) agrees to these GTC.
2. Subject Matter and Scope of Services 2.1 The Provider offers the Customer an AI-powered Software-as-a-Service (SaaS) solution that analyzes voice messages and converts them into structured invoice documents (PDF). 2.2 The Platform is provided on an “as is” basis. The Provider strives to continuously develop the Platform but does not guarantee specific functions or error-free analysis of voice data.
3. Registration and Conclusion of Contract 3.1 Use of the Platform requires registration. The contract is concluded upon confirmation of registration or the booking of a subscription by the Provider. 3.2 The Customer is obliged to provide all information during registration truthfully and completely.
4. Special Provisions for AI-Generated Content (Disclaimer) 4.1 The Customer acknowledges that invoice documents are created by Artificial Intelligence. AI systems may produce incorrect results (so-called “hallucinations”) or misinterpret voice data. 4.2 Customer’s Duty of Inspection: The Customer is strictly obliged to fully check every generated document (invoice, PDF) for accuracy and completeness before forwarding it to third parties or using it in accounting. 4.3 The Provider assumes no liability for damages resulting from incorrect invoices (e.g., wrong amounts, tax rates, bank details, or recipient data). Responsibility for the final product rests exclusively with the Customer.
5. Prices, Payment Terms, and Subscriptions 5.1 The prices stated on the website at the time of ordering shall apply. 5.2 Subscription fees are billed monthly in advance or debited via the chosen payment method. 5.3 In the event of default in payment, the Provider is entitled to block access to the Platform until full payment is received.
6. Term and Termination 6.1 Subscriptions are concluded for an indefinite period and automatically renew for a further month. 6.2 Monthly Cancellation: The Customer may cancel the subscription at any time at the end of the current billing month. Cancellation can be made directly via the account settings on the Platform. 6.3 The right to extraordinary termination for good cause remains unaffected.
7. Availability of the Platform The Provider strives for a platform availability of 98% on an annual average. Maintenance work and disruptions outside the Provider’s control (e.g., failures of hosting partners or AI interface providers) are excluded.
8. Data Protection and Security 8.1 Personal data is processed in accordance with the Provider’s separate Privacy Policy. 8.2 The Customer is responsible for ensuring that they are entitled to process the data of their own end customers (Data Processing Agreement).
9. Limitation of Liability 9.1 The Provider is liable only for damages caused by gross negligence or intent. Liability for slight negligence, indirect damages, consequential damages (such as lost profits), or loss of data is excluded to the extent permitted by law. 9.2 The Provider is not liable for technical disruptions at third-party providers (e.g., API providers for AI models).
10. Changes to the GTC The Provider reserves the right to change these GTC at any time. Changes will be communicated to the Customer in a timely manner. If the Customer does not object within 14 days, the amended GTC are deemed accepted.
11. Final Provisions 11.1 Swiss law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). 11.2 The place of performance and exclusive jurisdiction is Dietikon/Zurich, Switzerland. 11.3 Should individual provisions of these GTC be invalid, the validity of the remaining provisions remains unaffected.
