1.Scope

These General Terms and Conditions (“Terms”) apply to all services provided through the website www.recordo.ai and the associated app (together the “Platform”) by SmartAutomation Software Solutions GmbH, Lerzenstrasse 8, 8953 Dietikon, Switzerland (the “Provider”).

By registering or using the Platform, the user (“Customer”) accepts these Terms.

2.Subject matter and scope of services

2.1 The Provider offers the Customer an AI-supported Software-as-a-Service (SaaS) solution that analyses voice messages and converts them into structured invoice documents (PDF).

2.2 The Platform is provided “as is”. The Provider strives to continuously improve the Platform but does not guarantee specific features or error-free analysis of voice data.

3.Registration and contract conclusion

3.1 Use of the Platform requires registration. A contract is formed upon confirmation of registration or booking of a subscription by the Provider.

3.2 The Customer is obliged to provide truthful and complete information during registration.

4.Special provisions for AI-generated content (liability)

4.1 The Customer acknowledges that invoice documents are generated by artificial intelligence. AI systems may produce incorrect results (so-called hallucinations) or misinterpret voice data.

4.2 Customer’s duty to verify: The Customer is required to review every generated document (invoice, PDF) for accuracy and completeness before forwarding it to third parties or using it for accounting.

4.3 The Provider assumes no liability whatsoever for damages arising from faulty invoices (e.g. incorrect amounts, tax rates, bank details or recipient data). Responsibility for the final product lies exclusively with the Customer.

5.Prices, payment terms and subscriptions

5.1 The prices listed on the website at the time of order apply.

5.2 Subscription fees are invoiced monthly in advance or charged via the chosen payment method.

5.3 In the event of payment default, the Provider may suspend access to the Platform until full payment is received.

6.Term and termination

6.1 Subscriptions are concluded for an indefinite period and renew automatically for one further month at a time.

6.2 Monthly cancellation: The Customer can cancel the subscription at any time effective at the end of the current billing month, directly via the account settings on the Platform.

6.3 The right to terminate for cause without notice remains unaffected.

7.Availability of the Platform

The Provider targets an annual average Platform availability of 98 %. Excluded are maintenance work and disruptions outside the Provider’s sphere of influence (e.g. outages at hosting partners or AI interface providers).

8.Data protection and data security

8.1 Processing of personal data is governed by the separate privacy policy of the Provider.

8.2 The Customer is responsible for ensuring they are entitled to process the data of their own end customers (data processing arrangement).

9.Limitation of liability

9.1 The Provider is only liable for damages caused by gross negligence or intent. Liability for slight negligence, indirect damages, consequential damages (such as lost profit) or data loss is excluded to the extent permitted by law.

9.2 The Provider is not liable for technical disruptions at third-party providers (e.g. API providers for AI models).

10.Changes to the Terms

The Provider reserves the right to change these Terms at any time. Changes will be communicated to the Customer in good time. If the Customer does not object within 14 days, the amended Terms are deemed accepted.

11.Final provisions

11.1 Swiss law applies exclusively, with the UN Convention on Contracts for the International Sale of Goods (CISG) excluded.

11.2 Place of performance and exclusive jurisdiction is Dietikon/Zurich, Switzerland.

11.3 Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected.
